1. Agreement to Terms
By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Legal Terms. Users under 18 are prohibited from using the Services.
2. Our Services
Argoli provides online AI services designed to enhance social interactions through our website (https://argoli.co), the Argoli Companion mobile application, and related products. Information provided via the Services is not intended for distribution where doing so would violate local laws.
3. Intellectual Property
Argoli owns all intellectual property rights in the Services, including source code, databases, software, designs, audio, video, text, photographs, and graphics, as well as all trademarks and logos. You receive a non-exclusive, non-transferable, revocable licence to access the Services for personal, non-commercial use only. No Content or Marks may be copied, reproduced, sold, or otherwise exploited for commercial purposes without our express prior written permission.
4. User Submissions
By submitting questions, comments, suggestions, or feedback, you agree that Argoli owns all intellectual property rights in such Submissions and may use them for any lawful purpose without compensation to you.
5. User Representations
By using our Services, you confirm that your registration information is true and accurate, you have legal capacity to agree to these Terms, you are not a minor in your jurisdiction, and your use complies with all applicable laws.
6. Purchases and Payment
We accept Visa, Mastercard, American Express, Discover, and PayPal. You agree to provide current, complete, and accurate payment information. All payments are processed in US dollars. Sales tax applies where required.
7. Subscriptions
Subscriptions automatically renew unless cancelled. New registered users receive a 7-day free trial with no charge. All purchases are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change subscription fees and will communicate any changes in accordance with applicable law.
8. Prohibited Activities
You may not: systematically retrieve data without permission; defraud other users; interfere with security features; harass, abuse, or harm others; upload viruses or malicious code; use automated systems to access the Services; decompile or reverse-engineer our software; impersonate other users; or use the Services for any illegal or unauthorised purpose.
9. Mobile Application Licence
Access to the App grants you a revocable, non-exclusive, non-transferable, limited right to install and use the App on your device. You may not decompile, reverse-engineer, or create derivative works from the App, or use it for revenue-generating purposes outside its intended use.
10. Privacy Policy
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Legal Terms. Services are hosted in the United States and Germany.
11. Services Management
Argoli reserves the right to monitor the Services for violations, take appropriate legal action, and remove or restrict content at our sole discretion to protect our rights and property.
12. Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ARGOLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitations of Liability
IN NO EVENT WILL ARGOLI OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE LESSER OF THE AMOUNT YOU PAID IN THE SIX (6) MONTHS PRIOR TO THE CLAIM OR USD $300.
14. Governing Law and Dispute Resolution
These Terms are governed by French law. Disputes are resolved by binding arbitration under European Court of Arbitration rules, seated in Aix-en-Provence, France, conducted in English. EU residents retain the right to bring claims before courts in their country of residence. Class-action arbitration is not permitted.
15. Term and Termination
These Terms remain in force while you use the Services. Argoli may terminate your access at any time for any reason. If your account is terminated, you are prohibited from creating a new account.
